Background

A. The transaction concerns the property at __________, in __________: __________ ("the Property").

B. The Broker introduced __________ to the Client, and they propose a transaction concerning the Property of a value of __________ ("the Transaction").

1. The fee

2. When the Fee is paid

2.3 The instalments together make up the Fee. If they do not add up to it, the Fee prevails, and the difference falls due with the last instalment.

3. Tax deducted at source

3.1 Where the law requires the Client to deduct income tax at source from the Fee, the Client will deduct it, pay it to the Government within the time allowed, and give the Broker the certificate for it. The amount deducted counts as paid to the Broker.

4. If the Transaction is not completed

4.2 A failure of the Transaction does not by itself make the Broker liable to either party to it. The Broker is liable only for its own misstatement or default.

5. What the Fee covers

5.1 The Fee is the whole of the Broker's remuneration for the Transaction. The Broker will not accept any payment from __________ in the same Transaction unless the Client has agreed to it in writing.

5.2 The Broker will give a receipt for every instalment it receives.

6. General

6.1 This document is governed by the law in force in __________, and only the courts having jurisdiction where the Property is situated may decide a dispute about it.

6.2 Nothing in this document transfers or creates any interest in any property.

6.3 A notice under this document is given in writing, by hand or by email, to the address given for the other party above.

Personal data

This notice is given under the Digital Personal Data Protection Act, 2023.

The names, addresses, telephone numbers and email addresses in this document are collected for one purpose: fixing and collecting the fee on the Transaction. The Client and the Broker each keep a copy of this record. It may be shown only to the parties, their accountants, and a tax authority where the law requires it, and it will not be used for marketing.

If the engagement does not go ahead, the personal data in this document is kept for 90 days from that decision and then erased. If it goes ahead, this record is kept for the term of the engagement plus 12 months and then erased, unless a law requires a particular record to be kept longer.

This document does not collect any Aadhaar number, PAN, bank-account detail or copy of an identity document; the name of the other party to the Transaction is recorded only to identify it.
