ਸਟਾਂਪ ਡਿਊਟੀ

The resolution, and a certified copy of it, carries no stamp duty — it is not an instrument within Schedule I to the Indian Stamp Act, 1899. A separate power of attorney, if the bank or a counterparty insists on one in addition to this resolution, is a different instrument, chargeable under Article 48, and is not covered by this template.

Not registrable under the Registration Act, 1908 — it transfers no interest in property. Where the authority given is exercised to sign a document that is itself registrable, that later document carries its own registration requirement, which this resolution does not affect.

ਨੋਟਰੀ

Not required by law. Some banks ask for a notarised copy along with the original board resolution as a matter of internal policy — check the specific bank's current mandate-opening checklist before the meeting, since requirements differ from bank to bank and change without notice.

No witnesses are needed — a certified copy is authenticated under section 21 of the Companies Act, 2013, by the signature of the certifying officer and the Company's seal where it has one.

Part A — Particulars of the meeting

1. A meeting of the Board of Directors of the Company was held on 1 April 2026 at 11:30 a.m. at the registered office of the Company.

2. The meeting was held with all directors participating in person at the venue stated above.

3. Ms Anuradha Iyer took the chair.

Notice of the meeting was given to every director in the manner required by section 173(3) of the Companies Act, 2013, and the quorum required by section 174 of that Act was present when the meeting began and when the item recorded below was taken up.

Part B — The resolution

The following resolution was passed unanimously:

"RESOLVED THAT, in exercise of the powers conferred on the Board by section 179 of the Companies Act, 2013 and by the Articles of Association of the Company, and in connection with Opening a new bank account in the name of the Company, and authorising the Signatory(ies) named below to operate it:

(a) the Company's bankers for this purpose are HDFC Bank Limited, Sector 34-A Branch, Chandigarh, the account being a Current account;

(b) Mr Faisal Sheikh, Whole-time Director of the Company (DIN 07445120) (the "First Signatory"), and Ms Priya Menon, Chief Financial Officer of the Company (PAN AFRPB2212K) (the "Second Signatory"), be and are hereby authorised, for and on behalf of the Company:

(c) to operate the account referred to in sub-paragraph (a) above, and to sign cheques, demand drafts, pay orders, withdrawal forms and electronic and digital payment instructions on it, to sign the account-opening form, mandate, KYC and specimen-signature documents the bank requires, and to give and receive instructions to and from the bank in connection with that account;

(d) the following are also Signatories on the same terms: Ms Kavita Bansal, Company Secretary, PAN AFRPB2233K;

(e) the Signatories shall act Singly, by any one of the Signatories acting alone;

(g) This authority continues in force until varied or revoked by a further resolution of the Board

(i) the specimen signatures of the Signatories are as set out in the Annexure to this certified copy, and the bank or any other person relying on this resolution is entitled to act on a signature conforming to that specimen until written notice of a change is received; and

(j) any director or the Company Secretary of the Company be authorised to issue certified true copies of this resolution, and to sign and file with the Registrar of Companies any form or return required in respect of it within the time allowed by law."
