Source agreement: Agreement to Sell dated 10 February 2025. Original price: ₹1,20,00,000 (Rupees One Crore Twenty Lakh only). Paid: ₹60,00,000 (Rupees Sixty Lakh only). Balance: ₹60,00,000 (Rupees Sixty Lakh only).
- 1. ASSIGNABILITY
Basis: Agreement expressly permits assignment subject to stated consent.
- 2. RIGHTS AND CONSIDERATION
The Assignor assigns to the Assignee, with effect from the date in clause 3, the Assignor's rights under the source agreement, as follows. Assigned rights: All transferable buyer/allottee rights and corresponding obligations under the identified agreement.
Assignment consideration: ₹25,00,000 (Rupees Twenty Five Lakh only). Advance: ₹5,00,000 (Rupees Five Lakh only). Balance: ₹20,00,000 (Rupees Twenty Lakh only).
Where the law requires the Assignee to deduct tax at source from the assignment consideration, the Assignee deducts it, deposits it within the time allowed and gives the Assignor the certificate; tax properly deducted and deposited counts as payment of that much of the consideration.
- 3. EFFECTIVE DATE AND RECOGNITION
Effective between parties: 2 April 2026. Recognition route: On written consent/endorsement.
- 4. LIABILITIES
Pre-effective liabilities: Assignor remains responsible for its pre-effective breaches and unpaid obligations.
Post-effective liabilities: Assignee assumes future payment and performance obligations capable of assignment.
- 5. DOCUMENTS AND FAILURE
Document delivery: On effective assignment and receipt of balance.
Recognition failure: Assignment unwinds and refundable inter-party payments are returned within stated days. Refund period: 7 days.
This assignment transfers the contractual position described above and does not itself convey completed title to the immovable property.
