When you need it

A sworn affidavit of loss, combined with an indemnity, for a passport or a company/body corporate share certificate that has been lost, stolen or destroyed — used to support either (a) a reissue or duplicate passport application under the Passport Rules, 1980, at a Passport Seva Kendra or Regional Passport Office, or (b) an application to a company, or its Registrar and Transfer Agent, for a duplicate share certificate under section 46 of the Companies Act, 2013 read with Rule 6 of the Companies (Share Capital and Debentures) Rules, 2014. Records the loss, the search made, whether a police report (FIR) or an online lost-property complaint was lodged, and whether a public notice was published, and indemnifies the receiving authority or company against the consequences of issuing a duplicate.

Not for a lost marksheet, degree or academic certificate — use the Duplicate Marksheet / Lost Certificate Affidavit for that. Not for a lost title deed or other property document — use the Affidavit and Indemnity Bond for a Lost Title Deed for that. Not for a lost housing-society membership share certificate — use the Duplicate Share Certificate Application, which follows that society's own bye-laws, for that. Not for dematerialised (demat) shares, which have no physical certificate to lose — a demat holding is restored through your Depository Participant, not through this affidavit.

What follows is written for Punjab and Chandigarh. It states the position there rather than describing how it varies, so the amounts below are the ones that apply — worth confirming at the sub-registrar’s office, because rates change. If the property is anywhere else in India, none of this is yours.

Stamp duty

An affidavit is chargeable under Article 4, Schedule 1-A to the Indian Stamp Act, 1899 as applicable to Punjab, which Schedule also governs the Union Territory of Chandigarh, and the indemnity is chargeable under Article 34 of the same Schedule at the rate fixed for a security bond. In practice this is accepted as a combined affidavit-cum-indemnity on a single non-judicial stamp paper, of a value the receiving office or company's own format specifies — ask before buying the stamp paper, since a passport office and a company/Registrar and Transfer Agent do not always ask for the same value.

Registration

Not a registrable instrument. Filed with the passport office, or with the company or its Registrar and Transfer Agent, for their own record; not one the Registration Act, 1908 requires to be registered in Punjab or in Chandigarh. Keep the office's or company's acknowledgement of the application.

Notarisation

Sworn before a Notary Public (Notaries Act, 1952) or an Executive Magistrate/Oath Commissioner, with the Deponent appearing in person with photo identification.

Witnesses

None required by law for the affidavit itself; it is authenticated by the notary's or attesting officer's seal alone. A company's own Rule 6 format occasionally asks for the affidavit to be counter-signed by a surety in addition — that is a separate requirement of the company's format, not a witness to this affidavit.
